SPONSORSHIP AGREEMENT

Sponsorship Agreement
This covers the terms of a sponsorship agreement between COMPANY (hereafter referred to as COMPANY) and the Men’s Resource Network, Inc. (hereafter referred to as MRN). COMPANY agrees to pay MRN the sum of $XXX as a qualified sponsorship payment as defined by Section of the Internal Revenue Code. COMPANY makes this payment with no expectation that it will receive any return benefit other than acknowledgement on the MRN website (currently at the domain name: http://themenscenter.com) as specified below.
This acknowledgement will include the display of the COMPANY logo below the primary navigation menu of every web page on the MRN website as specified by the level of sponsorship. This logo may not contain any qualitative or comparative descriptions of the sponsor’s products, services, facilities or company. This logo will contain a hyperlink to either the Website Sponsorship page on the MRN website or to the COMPANY website (currently at the domain name: www.COMPANY.com) as chosen by COMPANY.
Sponsorship acknowledgement will also include the display of the COMPANY logo and company information on the Website Sponsorship page on the MRN website. As outlined above, the logo may not contain any qualitative or comparative descriptions of the sponsor’s products, services, facilities or company. This logo will contain a hyperlink to the COMPANY website. The company description may contain only the company brand and/or trade names, list of locations, telephone numbers, Internet address, and value-neutral description of the sponsor’s product line or services. Company descriptions may not include qualitative or comparative language, price information or other indications of savings or value, or an endorsement or other inducement to purchase, sell or use a sponsor’s product or services. MRN reserves final editorial approval of all company descriptions to ensure that they do not constitute advertising as defined in Section of the Internal Revenue Code.
COMPANY will provide MRN with the logo images in electronic form in either GIF or JPEG format. MRN reserves the right to compress these images if they are larger than 50 KB and to resize them to fit on the primary navigation menu pane (height and width dimensions not to exceed 105 pixels each) and Website Sponsorship page (width dimensions not to exceed 600 pixels). COMPANY will be given the opportunity to approve any image changes made by MRN prior to website publication.
MRN offers no guarantees of the level of exposure of the COMPANY acknowledgements on the MRN website. MRN will provide website page view statistics to COMPANY on a monthly basis if requested. MRN reserves the right to display other sponsor acknowledgements on the primary navigation menu and Website Sponsorship page of the MRN website. The vertical placement of sponsor logos will be determined by sponsorship level and the order in which sponsorship agreements are executed.
This agreement will be in effect for a period of one year from the date that both parties sign it and MRN has received sponsorship payment. COMPANY may decide to withdraw the display of acknowledgements on the MRN website at any time but understands that the sponsorship payment will not be returned. MRN agrees to reimburse COMPANY a prorated amount of the sponsorship payment for any time period in which they are unable to comply with the terms of this agreement.
